1. Introduction

Welcome to ApniFactory, a digital marketplace that connects buyers and verified sellers. By using our platform, you accept these Terms & Conditions.

2. Nature of Service – Aggregator Marketplace

ApniFactory is not a manufacturer, seller, logistics provider, delivery agent, or warehouse.
We only provide:

• Product listing platform
• Buyer–seller communication
• Payment collection & settlement support
• Digital marketing support
• Data transfer (invoice, logistics details)

All product-related responsibilities lie with the seller.

3. Payment Collection & Settlement Policy

3.1 Payment Flow

• The buyer pays ApniFactory at the time of placing an order.
• ApniFactory holds the payment for up to 21 days from the delivery date.
• This is a platform safety period to protect both buyer and seller.

3.2 Release of Payment to Seller

Payment is released to the seller only after:

• Seller uploads invoice
• Seller uploads logistics details (LR number / tracking)
• Buyer confirms delivery or does not raise a complaint within the return window
• No major damage or dispute is reported

After these conditions are met, the payment is transferred to the seller’s registered bank account.

3.3 Refund to Buyer

Refunds to the buyer (if applicable) occur when:

• Seller fails to deliver
• Product is damaged (with valid proof)
• Seller agrees to return/refund
• Buyer raises a dispute within the allowed period

Refund is processed to the buyer’s bank account only after ApniFactory verifies the case with the seller.

3.4 ApniFactory is Not Responsible For:

• Delayed delivery by transporter
• Damaged goods due to shipping
• Wrong product shipped by seller
• Seller dispute or buyer misuse
• Quality or warranty issues

ApniFactory only holds the payment temporarily to safeguard both parties.

4. Invoice & Logistics Information

4.1 Responsibility of Seller

The seller must upload:

• GST invoice
• Packaging images (optional but recommended)
• Transporter name
• LR number / Tracking number
• Dispatch date

4.2 ApniFactory’s Role

ApniFactory only:

• Fetches the seller-uploaded documents
• Displays and transfers them to the buyer
• Does not guarantee the accuracy of seller-uploaded information

Responsibility for correctness lies entirely with the seller.

5. Delivery & Fulfillment

ApniFactory does not provide delivery or logistics.

• Packaging
• Dispatch
• Transit
• Transport damage
• Delays
   are all seller or transporter responsibilities.

Buyer must check the shipment before accepting (where possible).

6. Return, Damage & Dispute Handling

Sellers must clearly define:

• Return window
• Damage claim rules
• Replacement process

ApniFactory only acts as a communication bridge between buyer and seller.

ApniFactory is NOT liable for:

• Damage caused during transport
• Manufacturing defects
• Seller failure to replace or refund
• Buyer misuse of return policy

7. Platform Marketing Clause

ApniFactory may run combined digital campaigns containing multiple verified sellers to optimize cost and reach.

8. Limitation of Liability

ApniFactory is not responsible for:

• Product defects
• Shipping issues
• Misrepresentation by sellers
• Financial loss due to business decisions
• Indirect, incidental, or consequential damages

Maximum liability of ApniFactory is limited to the platform fee, if any.

9. Jurisdiction

All disputes shall be resolved exclusively in the courts of Indore, Madhya Pradesh (India).

10. Amendments

ApniFactory may revise these terms at any time.

11. Product Images, Shades & Packaging Disclaimer

All product images, shades, colours, packaging designs, labels, dimensions, illustrations, and visual representations displayed on ApniFactory are for reference and indicative purposes only. Actual product colour, shade, finish, packaging, label design, appearance, dimensions, specifications, or branding elements may vary due to manufacturing updates, screen settings, lighting conditions, batch variations, supplier revisions, or other factors.ApniFactory does not guarantee exact colour matching, shade accuracy, packaging design, label artwork, or visual appearance as displayed on the platform. Buyers are advised to verify product specifications, shade cards, samples, and technical details with the seller before placing orders.ApniFactory shall not be liable for disputes, claims, losses, or damages arising from variations in colour, shade, packaging, design, artwork, label appearance, product photographs, or visual representations displayed on the platform.
